Encore Acquisition Company Shareholders File Securities Class Action Lawsuit Against Denbury Resources, Inc. Over Merger

A securities class action lawsuit was filed against Denbury Resources (DNR) in the U.S. District Court for the Eastern District of New York (Case No. 1:10-cv-0197-DGT -WP) on behalf of all former Encore Acquisition Company (“Encore”) shareholders whose shares were acquired by Denbury Resources, Inc. (“Denbury”) pursuant to a Joint Proxy Statement and Prospectus dated February 5, 2010, according to securities class action news reports.

The Denbury Resources and Encore Acquisition securities class action lawsuit complaint reportedly alleges, among other things, that Denbury miscalculated the shares payable to Encore shareholders, violating certain federal securities laws and the merger agreement related to the March 19, 2010, merger of Denbury with and into Encore.
