A class action settlement has been reached in a class action lawsuit against against drugstore.com, Inc. (“drugstore.com”), certain of its officers and directors, Walgreen Co. (“Walgreens”) and its wholly owned subsidiary, Dover Subsidiary, Inc. (together, “Walgreens Defendants”) (collectively “Defendants”) pending in the Superior Court of Washington in and for King County (styled In Re Drugstore.com Shareholder Litigation, Case No. 6315-VCP) challenging Walgreens’ acquisition or purchase of drugstore.com, according to the DrugStore.com shareholder class action settlement notice.
The Court has reportedly ordered, for settlement purposes only, and pending the Settlement Hearing, that the DrugStore.com shareholder class actions are provisionally certified as a class action on behalf of a class consisting of all persons or entities who held shares of drugstore.com common stock (or any interest therein), either of record or beneficially, for the period from and including March 24, 2011 through and including June 3, 2011, including any and all of their respective successors in interest, predecessors, representatives, trustees, executors, administrators, heirs, assigns, or transferees, immediate and remote, and any person or entity acting for or on behalf of, or claiming under, any of them, and each of them (the “Class”).
As part of the DrugStore.com shareholder class action settlement, drugstore.com agreed to include Supplemental Disclosures in a Form 8-K that was filed with the SEC on May 27, 2011.
The Court has scheduled a Settlement Hearing which will be held on October 10 2011 at 10:00 a.m., in the Court of Chancery in the New Castle County Courthouse, 500 N. King Street, Wilmington, Delaware 19801 for the purposes of determining, among other things, whether the DrugStore.com shareholder class action settlement is fair, reasonable, adequate, and in the best interests of the Class.
